TERMS AND CONDITIONS Effective Date: 12th July 2026 Last Updated: 12th July 2026 These Terms and Conditions ("Terms") form a legally binding agreement between you ("User", "you", "your") and Tranos Web Technologies, a sole proprietorship registered in the Republic of Ghana under registration number BN780892014, ("HouseHelpGH", "the Company", "we", "us", "our"), governing your access to and use of the HouseHelpGH website, mobile-responsive platform, and related services (together, the "Platform"). BY CREATING AN ACCOUNT, CHECKING THE "I AGREE" BOX AT REGISTRATION, OR OTHERWISE ACCESSING OR USING THE PLATFORM, YOU CONFIRM THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND OUR DATA PROTECTION PRACTICES DESCRIBED IN SECTION 10 BELOW. IF YOU DO NOT AGREE, YOU MUST NOT REGISTER FOR OR USE THE PLATFORM. These Terms are entered into and accepted electronically in accordance with the Electronic Transactions Act, 2008 (Act 772), which gives legal recognition to electronic records and electronic contracting in Ghana. 1. DEFINITIONS 1.1 "Platform" means the HouseHelpGH website and any associated services operated by the Company. 1.2 "Client" means a User who registers to search for, contact, or engage a Househelp through the Platform. 1.3 "Househelp" means a User who registers to offer domestic help services and be discoverable by Clients through the Platform. 1.4 "User" means any Client, Househelp, or other individual who registers for or uses the Platform. 1.5 "Booking" means a scheduling arrangement created through the Platform between a Client and a Househelp for a proposed engagement. 1.6 "Subscription" means a paid or free access tier that determines a User's level of access to Platform features, as described in Section 6. 1.7 "Content" means any information, text, images, documents (including police reports and profile photographs), reviews, or other material submitted, uploaded, or posted by a User on the Platform. 1.8 "Engagement" means any actual arrangement for domestic work, employment, or service that a Client and Househelp enter into between themselves, whether or not it originated through a Booking made on the Platform. 2. WHO WE ARE AND WHAT THE PLATFORM DOES 2.1 The Platform is an online directory, discovery, and subscription-access service that helps Clients and Househelps find and communicate with one another. The Platform provides tools for profile discovery, ratings and reviews, scheduling (Bookings), in-app messaging, and document upload for self-reported verification. 2.2 THE COMPANY IS NOT AN EMPLOYER, RECRUITER, STAFFING COMPANY, OR PRIVATE EMPLOYMENT AGENCY WITHIN THE MEANING OF THE LABOUR ACT, 2003 (ACT 651) OR ANY RELATED REGULATIONS, INCLUDING THE LABOUR (DOMESTIC WORKERS') REGULATIONS, 2020 (L.I. 2408). The Company does not select, supervise, direct, train, discipline, pay, or terminate any Househelp on behalf of any Client, and does not select or vet Clients on behalf of any Househelp beyond the limited registration review described in Section 4. Any Engagement entered into by a Client and a Househelp is a private arrangement solely between those two individuals. The Company is not a party to, and assumes no responsibility or liability whatsoever for, the formation, terms, performance, non-performance, or termination of any Engagement. 2.3 THE COMPANY IS NOT A PAYMENT PROCESSOR, ESCROW AGENT, OR FINANCIAL INSTITUTION. Any Subscription fee paid by a Client to the Company is solely payment for access to the Platform's discovery, messaging, and related features, and is never payment (in whole or in part) for a Househelp's labour, wages, or services. Wages, allowances, and any other form of compensation payable to a Househelp for an Engagement are matters to be agreed and settled directly and exclusively between the Client and the Househelp, entirely outside the Platform. The Company does not collect, hold, disburse, or guarantee any payment made between Users. 2.4 If a Client engages a Househelp directly as a domestic employee, the Client — and not the Company — assumes any and all obligations of an employer under Ghanaian law, including but not limited to obligations relating to wages, working conditions, the Labour Act, 2003 (Act 651) and its regulations, and contributions to the Social Security and National Insurance Trust (SSNIT) where applicable. The Company makes no representation as to whether any particular Engagement gives rise to an employment relationship and strongly encourages Clients to seek independent legal advice if in doubt. 3. ELIGIBILITY AND CAPACITY 3.1 You must be at least 18 years old and have the legal capacity to enter into a binding contract under the Contracts Act, 1960 (Act 25) to register for or use the Platform. By registering, you represent and warrant that you meet this requirement. 3.2 You must provide accurate, current, and complete information during registration and keep it up to date. You may only register and maintain one account, in your own name, unless the Company expressly permits otherwise in writing. 3.3 You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify the Company promptly of any unauthorised use of your account. 4. ACCOUNT APPROVAL 4.1 New registrations are placed in a "pending" status and reviewed by the Company before the account is activated. The Company may approve, reject, suspend, or later deactivate any account at its sole discretion, with or without giving reasons, subject to applicable law. 4.2 Approval of an account confirms only that the Company has completed its own limited internal review of the information and any documents submitted at registration. APPROVAL IS NOT, AND MUST NOT BE TAKEN AS, A GUARANTEE, CERTIFICATION, OR WARRANTY OF THE IDENTITY, CHARACTER, COMPETENCE, RELIABILITY, HONESTY, OR SUITABILITY OF ANY USER FOR ANY PURPOSE. 5. VERIFICATION FEATURES AND THEIR LIMITS 5.1 Police Report Documents. The Platform allows a Househelp to upload a police report or similar document as a self-reported verification aid, which an administrator may mark as "valid" or "invalid" following a visual review. This review is a manual, good-faith check of the document presented and DOES NOT constitute independent verification against any police, government, or other official database, and does not confirm the authenticity of the document or the absence of a criminal record. The Company gives no warranty, express or implied, as to the accuracy, authenticity, or completeness of any document uploaded by a User. 5.2 Face Login. Any facial-recognition login feature offered on the Platform is a convenience feature that helps a returning User re-authenticate against their own previously enrolled profile. IT IS NOT AN IDENTITY VERIFICATION, BACKGROUND CHECK, OR SECURITY-CLEARANCE SERVICE and must not be relied upon as such. 5.3 Ratings and Reviews. Reviews submitted by Users are moderated by the Company before publication, but moderation is limited to a basic review for obvious abuse and does not verify the factual accuracy of any review. Reviews reflect the opinions of the User who submitted them, not the opinions of the Company, and the Company accepts no liability for their content or accuracy. 5.4 Your Own Due Diligence. YOU ARE SOLELY RESPONSIBLE FOR CONDUCTING YOUR OWN INDEPENDENT DUE DILIGENCE BEFORE ENTERING INTO ANY ENGAGEMENT WITH ANOTHER USER, including verifying identity, requesting original documents, meeting in a safe public place before any home visit, and obtaining your own police clearance checks or references where you consider it appropriate. The Company strongly recommends that Clients and Househelps take reasonable personal safety precautions when arranging in-person meetings or home visits. 6. SUBSCRIPTIONS, FEES, AND PAYMENT 6.1 Access to certain Platform features (such as full profile browsing, contact details, or messaging) may require an active paid Subscription. Subscription tiers, their duration, and their pricing are displayed on the Platform and may be changed by the Company from time to time, with reasonable notice for existing subscribers where required by law. 6.2 Payment for a Subscription is currently made off-platform (for example, by mobile money transfer or bank transfer) using the payment details published on the Platform, and is confirmed and recorded manually by the Company's administrators. You are responsible for ensuring you use the correct, currently published payment details and for retaining your own proof of payment. The Company is not responsible for funds sent to an incorrect, outdated, or fraudulent payment channel not published by the Company at the time of payment. 6.3 Except where required by law or expressly stated otherwise by the Company in writing, Subscription fees are non-refundable, including where a User's account is suspended or terminated for breach of these Terms, or where a User does not find a suitable match through the Platform. 6.4 The Company reserves the right to withhold, suspend, or decline to activate a Subscription where payment cannot be confirmed or is reasonably suspected to be fraudulent. 7. BOOKINGS AND ENGAGEMENTS 7.1 A Booking is a scheduling tool only. Creating, accepting, or completing a Booking on the Platform does not create any contract between the Company and either party, and does not itself create an employment or service relationship — that relationship, if any, exists solely and directly between the Client and the Househelp. 7.2 The Company has no control over, and no liability for, the conduct of any User during or arising out of an Engagement, including but not limited to: the quality, safety, or timeliness of work performed; non-payment or under-payment of wages; property damage, loss, or theft; personal injury; harassment or misconduct; or any criminal act by either party. Any dispute, claim, or damages arising from an Engagement must be resolved directly between the Client and the Househelp, including, where necessary, through the appropriate Ghanaian courts, police, or labour authorities. 7.3 Cancellation, rescheduling, or no-show terms for an Engagement are a matter of private agreement between the Client and Househelp. The Platform does not currently charge or collect cancellation fees and takes no position on disputes about cancellations. 8. ACCEPTABLE USE 8.1 You agree not to: (a) provide false, misleading, or impersonated information; (b) use the Platform for any unlawful purpose, including any purpose connected with human trafficking, forced labour, or exploitation of a minor; (c) harass, threaten, defame, or discriminate against another User; (d) post false, defamatory, or malicious reviews or content; (e) attempt to circumvent the Platform's security, approval, or Subscription mechanisms; (f) scrape, reverse-engineer, or extract data from the Platform other than through normal use; or (g) use the Platform to solicit or advertise unrelated goods or services. 8.2 The Company may investigate suspected breaches of this Section and take any action it considers appropriate, including content removal, account suspension or termination, and reporting to law enforcement where a suspected criminal offence is involved. 9. USER CONTENT 9.1 You retain ownership of the Content you submit but grant the Company a non-exclusive, royalty-free, worldwide licence to host, store, reproduce, and display that Content solely for the purpose of operating and improving the Platform. 9.2 You are solely responsible for the Content you submit and confirm that you have the right to submit it and that it does not infringe any third party's rights or applicable law, including that it is not defamatory. You agree to indemnify the Company against any claim arising from Content you submitted, as set out in Section 13. 9.3 The Company may remove, edit, or decline to publish any Content at its discretion, including reviews it reasonably believes to be false, abusive, or in breach of these Terms. 10. DATA PROTECTION AND PRIVACY 10.1 The Company processes personal data (including names, contact details, photographs, and uploaded documents such as police reports) in accordance with the Data Protection Act, 2012 (Act 843) and is registered as a data controller with the Ghana Data Protection Commission under registration number [DATA PROTECTION COMMISSION REGISTRATION NUMBER]. 10.2 We collect personal data that you provide directly (registration details, profile information, messages, uploaded documents, payment confirmations) and data generated by your use of the Platform (such as login activity), for the specific purposes of: operating your account; matching Clients and Househelps; processing Subscriptions; communicating with you about your account or Bookings; maintaining Platform security; and complying with our legal obligations. 10.3 We do not sell your personal data. We may share personal data: with another User to the extent necessary to facilitate a Booking or Engagement you have initiated (for example, sharing contact details after a Booking is confirmed); with service providers who process data on our behalf (such as hosting providers) under confidentiality obligations; with the Ghana Police Service or other competent authorities where required by law or where necessary to investigate suspected fraud, safety concerns, or unlawful conduct; or with your consent. 10.4 You have the right, in accordance with Act 843, to: request access to the personal data we hold about you; request correction of inaccurate data; withdraw consent to processing (subject to the effect this may have on your ability to use the Platform); and lodge a complaint with the Data Protection Commission. Requests may be made to [CONTACT EMAIL], and the Company will respond within the statutory period of twenty-one (21) days. 10.5 We retain personal data only for as long as necessary for the purposes described above, for as long as your account remains active, and thereafter for such period as is necessary to comply with our legal obligations or resolve disputes. 10.6 We apply reasonable administrative, technical, and physical security measures to protect personal data against unauthorised access, loss, or misuse, including restricting document access (such as uploaded police reports) to authorised administrators only. No method of transmission or storage is completely secure, and we cannot guarantee absolute security. 11. INTELLECTUAL PROPERTY 11.1 The Platform, including its software, design, layout, graphics, and the "HouseHelpGH" name and logo, is the property of the Company or its licensors and is protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for its intended personal, lawful purpose. No other rights are granted. 12. DISCLAIMERS AND LIMITATION OF LIABILITY 12.1 THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT, AND DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE. 12.2 TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OPPORTUNITY, OR GOODWILL, ARISING FROM OR RELATING TO YOUR USE OF THE PLATFORM OR ANY ENGAGEMENT WITH ANOTHER USER, HOWEVER CAUSED AND WHETHER ARISING IN CONTRACT, TORT, OR OTHERWISE. 12.3 WITHOUT LIMITING SECTION 12.2, THE COMPANY EXPRESSLY DISCLAIMS ANY LIABILITY FOR: (A) THE ACTS OR OMISSIONS OF ANY CLIENT OR HOUSEHELP, INCLUDING THEFT, PROPERTY DAMAGE, PERSONAL INJURY, NON-PAYMENT, POOR-QUALITY WORK, OR CRIMINAL CONDUCT; (B) THE ACCURACY OF ANY VERIFICATION FEATURE, DOCUMENT, RATING, OR REVIEW DESCRIBED IN SECTION 5; (C) ANY LOSS ARISING FROM PAYMENTS SENT OUTSIDE THE PLATFORM; AND (D) ANY SERVICE INTERRUPTION OR DATA LOSS BEYOND THE COMPANY'S REASONABLE CONTROL. 12.4 TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY'S TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE TOTAL SUBSCRIPTION FEES YOU PAID TO THE COMPANY IN THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. 12.5 NOTHING IN THESE TERMS EXCLUDES OR LIMITS ANY LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED UNDER THE LAWS OF GHANA, INCLUDING LIABILITY FOR FRAUD OR FRAUDULENT MISREPRESENTATION. 13. INDEMNIFICATION 13.1 You agree to indemnify and hold harmless the Company, its officers, employees, and agents from and against any claim, liability, loss, damage, or expense (including reasonable legal costs) arising out of or in connection with: (a) your breach of these Terms; (b) your Content; (c) your violation of any applicable law; or (d) any Engagement, dispute, or interaction between you and another User. 14. SUSPENSION AND TERMINATION 14.1 The Company may suspend or terminate your account, with or without notice, if it reasonably believes you have breached these Terms, provided false information, posed a risk to the safety of other Users, or for any other reason the Company considers necessary to protect the integrity of the Platform. 14.2 You may deactivate your account at any time by contacting the Company. Termination does not entitle you to a refund of any Subscription fees already paid, except as required by law. 14.3 Sections 2, 5, 7, 9 through 13, and 15 through 21 survive termination of your account or these Terms. 15. CHANGES TO THESE TERMS 15.1 The Company may update these Terms from time to time to reflect changes in the law, the Platform, or our business practices. The updated Terms will be published on the Platform with a new "Last Updated" date and, where the Company designates the change as material, a new version identifier. Continued use of the Platform after an update takes effect constitutes your acceptance of the updated Terms. Where required by law, the Company will seek fresh acceptance (for example, by requiring you to re-confirm your agreement) for material changes. 16. ELECTRONIC COMMUNICATIONS 16.1 You consent to receiving communications from the Company electronically, including by email, SMS, WhatsApp, or in-app notification, and agree that such communications satisfy any legal requirement that such communications be in writing. These Terms are entered into electronically and are valid and enforceable in accordance with the Electronic Transactions Act, 2008 (Act 772). 17. FORCE MAJEURE 17.1 The Company shall not be liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including power or internet outages, natural disasters, civil unrest, government action, or failures of third-party service providers. 18. GOVERNING LAW AND DISPUTE RESOLUTION 18.1 These Terms are governed by and construed in accordance with the laws of the Republic of Ghana. 18.2 If a dispute arises between you and the Company relating to these Terms or the Platform, the parties shall first attempt in good faith to resolve it through direct negotiation within thirty (30) days of one party notifying the other in writing of the dispute. 18.3 If the dispute is not resolved through negotiation, it shall be referred to and finally resolved by arbitration in Accra, Ghana, conducted in English before a single arbitrator, in accordance with the Alternative Dispute Resolution Act, 2010 (Act 798). The arbitrator's award shall be final and binding on the parties, subject to any right of appeal available under Act 798. 18.4 Nothing in this Section prevents either party from seeking urgent interim relief (such as an injunction) from a court of competent jurisdiction in Ghana. 18.5 This Section governs disputes between you and the Company only. It does not apply to, and the Company is not a party to, disputes between a Client and a Househelp, which the parties must resolve between themselves. 19. GENERAL 19.1 Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. 19.2 Entire Agreement. These Terms, together with any policies referenced in them, constitute the entire agreement between you and the Company regarding the Platform and supersede any prior agreements or understandings. 19.3 No Waiver. The Company's failure to enforce any provision of these Terms is not a waiver of its right to do so later. 19.4 Assignment. The Company may assign or transfer its rights and obligations under these Terms in connection with a merger, acquisition, or sale of assets. You may not assign your rights under these Terms without the Company's prior written consent. 19.5 Language. These Terms are drawn up in English, which shall be the governing language for their interpretation. 20.
